These Terms of Use ("Terms") constitute a legally binding agreement between Farenexus Group (collectively, “Farenexus,” “Farenexus Solutions” “FG,” “we,” “us,” and “our”) and you ("User," "you," or "your") governing your use of our software, applications, websites, and services (collectively, the "Services").
By clicking “I Accept,” executing an Order Form or using the Farenexus Services, Client agrees to be bound by this Agreement. If you are entering into this Agreement on behalf of a company, corporation or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this Agreement. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept this Agreement and may not use the Farenexus Services.
1.1 Farenexus Group provides a spectrum of travel technology solutions, including but not limited to corporate and agency booking solutions, airline contract management, customer/vendor management, process automation, and analytics.
1.2 Farenexus Group's products include:
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.
3.1 You agree to use the Services solely for lawful purposes and in accordance with these Terms.
3.2 Some features of our Services may require you to create an account. You are responsible for maintaining the confidentiality of any login information associated with the Services and for all activities that occur under your account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You may not share your account credentials with any third party or allow any third party to access your account.
4.1 Fees: The use of certain Services may be subject to payment of fees as outlined in a separate agreement between you and Farenexus Group.
4.2 Payment: You agree to pay all fees associated with your use of the Services in a timely manner.
4.3 We may change our fees at any time by posting a new pricing structure to our Website and/or sending you a notification by email. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, and you agree to pay for any taxes that might be applicable to your use of the service.
4.4 All refunds are made at the discretion of Farenexus, and we reserve the right to refuse to offer a refund for any reason.
5.1 Farenexus Group retains all rights, title, and interest in and to the Services, including all intellectual property rights.
5.2 Our Services and all content, features, and functionality thereof, including but not limited to software, text, graphics, logos, button icons, images, audio clips, and videos, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, distribute, modify, or create derivative works of the Services without prior written consent from Farenexus Group.
Our Services may allow you to submit, post, or display content, including but not limited to text, images, audio, and video ("User Content"). By submitting User Content, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, publicly display, publicly perform, and otherwise exploit such User Content in connection with our Services. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit User Content and to grant us the foregoing license.
You may not:
(a) Use our Services in any manner that could disable, overburden, damage, or impair our Services or interfere with any other party's use of our Services;
(b) Use any robot, spider, or other automatic device, process, or means to access our Services for any purpose, including monitoring or copying any of the material on our Services;
(c) Use any manual process to monitor or copy any of the material on our Services or for any other unauthorized purpose without our prior written consent;
(d) Use any device, software, or routine that interferes with the proper working of our Services;
(e) Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
(f) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services, the server on which our Services are stored, or any server, computer, or database connected to our Services; or
(g) Otherwise attempt to interfere with the proper working of our Services.
8.1 Farenexus Group may collect and use personal information as described in its Privacy Policy. By using the Services, you consent to the collection and use of your personal information in accordance with the Privacy Policy.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.1 Farenexus Group shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Services.
10.2 In no event shall Farenexus Group's total liability to you exceed the amount paid by you, if any, for the use of the Services.
11.1 Farenexus Group reserves the right to suspend or terminate your access to the Services at any time for any reason without prior notice.
11.2 Upon termination of your access to the Services, any remaining fees owed by you shall become immediately due and payable.
12.1 These Terms shall be governed by and construed in accordance with the laws applicable in the Province of Quebec, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or our Services shall be instituted exclusively in the federal courts of Quebec Province or the courts of Canada, and you irrevocably submit to the exclusive jurisdiction of such courts.
13.1 Farenexus Group reserves the right to modify or update these Terms at any time without prior notice. Any changes to the Terms will be effective immediately upon posting.
14.1 In the event of a security breach that may affect you, we’ll notify you of the breach and provide a description of what happened.

15.2 We will undertake Commercially Reasonable Efforts to resolve issues in a timely, courteous, and professional manner.
16.1 If you think anyone is violating any of these Terms, please notify us immediately. If you received spam, you think came from an a Farenexus user, please contact us at contact@farenexus.com

These Terms, together with our other policies make up the entire agreement and supersede all prior agreements, representations, and understandings.
